WAIVER OF LIABILITY
In consideration of the following terms, Manager, as agent for Owner (Manager is referred to as “Agent” below), and Permittee agree as follows:

1. Agent hereby grants permission to Permittee to park one (1) bicycle in the space provided for such purpose from time to time in the Bicycle Room at 145 South Wells, Chicago Illinois 60606 with related accessories only (e.g. helmet, gloves, cycling shoes); however, Permittee shall not leave clothing articles on or about their bicycles or in bicycle racks, and all such items shall be kept inside duffle or gear bags attached to the bicycle. Permittee may also make use of showers and washrooms located in the Bicycle Room. The permission granted by this Agreement is revocable at any time by Agent without notice to Permittee (provided Permittee shall not be required to remove Permittee's bicycle from the Bicycle Room until it is as received notice from Agent). Permittee will exercise due caution in entering and exiting the loading dock area, when accessing and traveling to the Bicycle Room and understands that delivery vehicle, trucks, and workers that routinely share use of the loading dock area. At no time will bicycles be brought through the main lobby entrance. Use of the Bicycle Room by Permittee is AT THE SOLE RISK OF PERMITTEE.
2. Unless sooner revoked as provide above, the term of this Agreement will end on the last date of the year the Agreement is made, and must be renewed through the Office of the Building at
145southwells@jll.com
. Immediately after Permittee is advised that the permissions granted hereby is terminated, Permittee shall remove Permittee's bicycle from the Bicycle Room (failing which, Agent shall have the right to remove such bicycle and store it at Permittee's expense for up to 30 days, and if Permittee does not pay for storage costs and retrieve the bicycle within such 30-day period, Agent shall be authorized to dispose of the bicycle without any liability to Permittee).
3. The permission granted hereby is subject to all the rules and regulations adopted by Agent or the Owner from time to time for the orderly and safe operation of the Bicycle Room, and Permittee shall observe such rules and regulation as may be amended from time to time. Access to the Bicycle Room will be by key-card access only. Permittee must not allow others access to the Bicycle Room with Permitee's access card. If Permittee fails to adhere to these provisions, Agent may program Agent's keycard to deny access to the Bicycle Room, and Permittee will forfeit its privileges under this Agreement.
4. Permittee agrees that all personal property of Permittee located in any space or area of the Building of Bicycle Room, shall be at the risk of the Permittee only, and that neither Agent nor Owner is a bailee or shall be liable for any loss of damage thereto of theft thereof, and Permittee hereby releases Owner and Agent and their respective affiliates, directors, officers, agents and employees from any and all claims arising from theft, loss or damage that may occur to Permittee's bicycle, including from use of Building air compressor that this included as an amenity for inflating tires in the Bicycle Room. The charging of any bicycle containing electronic components shall not be allowed while stored in the Bicycle Room.
5. Permittee voluntarily and fully assumes, to the fullest extent permitted by law, any and all risks, known and unknown, in any way arising from or related to or associated in any manner with my exercise of any of the Bicycle Room privileges set forth herein, including the following (referred to herein as “Bicycle Activities”): Permittee's presence of that of Permittee's guests and invitees in the Bicycle Room and all related accessing, exiting, parking, walking in, cycling, showering, using the air compressor and otherwise using the Bicycle Room and/or equipment located therein.
6. Permittee has signed and delivered a Building Waiver and Release in connection with accessing the Building generally as well as the Amenity Floor. The provisions of the Building Waiver and Release are incorporated herein by reference and all provisions there of as related to accessing and using the Building shall be liberally construed to as include the Bicycle Room and Permittee's Bicycle Activities pursuant to this Agreement.
7. This Agreement is not assignable or transferable by Permittee. This Agreement cannot be changed except by written amendment between the parties.
Permittee acknowledges having read and fully understood this Agreement and agrees that all covenants in this Agreement ae binding on Permittee, and Permittee's heirs, successors and assigns. This Agreement shall be governed and interpreted in accordance with the laws of the State of Illinois. If any part of this Agreement shall be held invalid by any court of competent jurisdiction, the invalidity, of such part shall not otherwise affect the remaining provisions of this Agreement.
